4. Payments, Refunds & Subscriptions

Consulting Services

• Fees and payment schedules are agreed upon before project kickoff.
• Invoices are due upon receipt unless otherwise stated.

Digital Products

• All digital product sales are final due to the nature of downloadable content. No refunds will be issued unless required by law.

Subscriptions

• Subscriptions automatically renew unless canceled in advance. You are responsible for managing billing and cancellations.

5. Intellectual Property

All original content—including templates, frameworks, downloads, videos, and workflows—remain the intellectual property of AI Consulting Solutions, LLC unless explicitly stated otherwise.

You may not:

• Reproduce, resell, or claim authorship over our materials
• Use our services or content in violation of any laws
• Reverse-engineer or replicate AI workflows without permission

Third-party tools used in our services remain under their respective licenses.

6. Client Responsibilities

Clients agree to:

• Provide accurate, complete, and timely information
• Respect all project timelines and scope agreements
• Use services in a professional and ethical manner

Failure to meet obligations may delay deliverables or lead to service suspension.

7. Confidentiality

We treat all client information shared during discovery, onboarding, or delivery as confidential. We will not disclose any sensitive data to third parties without written consent, unless required by law.

8. Use of AI Tools & Third-Party Platforms

We may integrate tools such as OpenAI, Zapier, Make, Google Workspace, and others to fulfill service delivery. You understand:

• These tools are governed by their own terms and privacy policies
• We are not liable for outages, errors, or data issues caused by third-party tools
• You are responsible for ensuring your own data compliance (e.g., HIPAA, GDPR, etc.)

9. Mobile Messaging Terms (A2P 10DLC Compliance)

By providing your phone number and opting into SMS communications, you agree to receive text messages from us. These may include appointment reminders, service updates, or limited-time offers.

You can opt out at any time by replying “STOP” to any message.

Required Disclosure:
“No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.”

Standard message and data rates may apply. Message frequency varies by interaction.

10. Limitation of Liability

To the maximum extent permitted by law, AI Consulting Solutions, LLC shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Misuse of tools, incorrect implementation, or client-side misapplication

Our total liability shall not exceed the amount paid for the services rendered.

11. Termination

We reserve the right to suspend or terminate services if:

• Terms are violated
• Client behavior is unprofessional or in bad faith

You may terminate services at any time. However, fees already paid are non-refundable.

12. Modifications

We may revise these Terms periodically. Updates will be reflected by the “Effective Date” above. Continued use of our services indicates your acceptance of any changes.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of laws principles.
